Prices
Prices are quoted for goods delivered ex-warehouse. Transportation costs are borne by the customer from the moment the goods leave the BAGLEM SRL warehouse. Any price changes will be communicated in advance.
Standard Packaging
Orders are fulfilled in standard packages or multiples thereof, regardless of the quantity ordered. If the customer requests special packaging, it will be prepared according to the provided specifications, but will not entitle the customer to quantity discounts, except for special materials.
Payments
Payments must be made at our headquarters within the terms specified on the invoice. The acceptance of bills of exchange or the issuance of drafts does not constitute a waiver of the payment location indicated. The purchaser may not delay payment for any reason and may raise any objections only after payment has been made in full.
Retention of Title Clause
Materials are sold with retention of title pursuant to Art. 1523 of the Italian Civil Code. Therefore, until invoices are paid in full, the products remain the property of BAGLEM SRL.
Late Payment Interest
In case of delayed payment, the customer shall pay late payment interest at the annual rate specified on the invoice. Interest accrues automatically from the due date until full payment.
Deliveries
Any delays or failures in delivery due to force majeure shall not entitle the customer to claim damages. The indicated delivery dates are purely indicative and non-binding.
Shipments
Goods always travel at the risk and on behalf of the customer, even when shipped carriage paid. Any insurance requests are the responsibility of the customer and must be specified in the order. In the absence of instructions, BAGLEM SRL will choose the most appropriate shipping method without assuming further responsibility.
Packaging and Packing
Packaging and packing costs are charged as direct costs, without any markup. All goods will be adequately packed to ensure safety during transport.
Complaints and Returns
Complaints will be accepted only if submitted within ten days of receipt of goods. Returns of correctly ordered products will not be accepted without written authorization from BAGLEM SRL.
General Conditions
Unless otherwise agreed, the warranty period for BAGLEM SRL products complies with European legislation and starts from the date on the sales invoice. The warranty covers only free repair or replacement for defects in design, manufacture, and construction. To benefit from the warranty, the customer must return the defective product to BAGLEM SRL’s headquarters, bearing transportation and shipping costs. Required documentation and a proforma must be provided before sending the goods.
Warranty Repair or Replacement
To initiate the warranty procedure, the Customer must notify the defect in writing, attaching the following information:
Serial number of the defective product
Detailed description of the detected defect
Photographic evidence of the defect, if available
Once all necessary information is received, BAGLEM SRL will issue a return authorization. The product must be adequately packed for transport and sent to BAGLEM SRL’s headquarters, with shipping costs borne by the Customer, according to Incoterms DDP (Delivered Duty Paid).
After technical inspection, BAGLEM SRL will inform the Customer of the outcome and whether the defect is covered by the warranty:
If covered, BAGLEM SRL will repair or replace the product at no additional cost, including shipping of the repaired or replaced product to the Customer according to Incoterms DAP (Delivered At Place).
If not covered, the Customer will be informed and must arrange for collection of the product at their own expense.
Products repaired or replaced under warranty will retain coverage until the expiration of the original warranty period. There is no renewal or extension of the warranty for repaired or replaced products.
Warranty Limitations
The warranty is void in case of defects or damage resulting from:
Negligence or tampering by the Customer or unauthorized third parties
Improper or careless use (including use of unauthorized tools or unapproved handling)
Unauthorized modifications or repairs with non-original components
Exposure to extreme environmental conditions
Electrical supply issues (voltage spikes, surges, etc.)
Force majeure events (natural disasters, vandalism, etc.)
Furthermore, BAGLEM SRL shall not be liable for indirect damages such as loss of profits, revenue, or business interruption.
Regulatory Compliance of Installed Systems
If BAGLEM SRL supplies components, electrical panels, devices, or systems to be installed by third-party companies appointed by the Customer, the latter is responsible for compliance with applicable technical and legislative standards in Italy, including – but not limited to – D.M. 37/08 and applicable CEI standards.
The Customer undertakes to ensure that installation, modification, commissioning, and maintenance of systems are carried out exclusively by legally qualified personnel.
BAGLEM SRL reserves the right to request a copy of the Declaration of Conformity for the system, issued by the executing company, as a necessary condition for:
Intellectual Property
All content (descriptions, photographs, logos, registered trademarks, graphic materials) published by BAGLEM SRL is protected by intellectual property rights and is the exclusive property of BAGLEM SRL. Reproduction, distribution, modification, or use of these materials, whether in paper or digital format (including social media, websites, etc.), is prohibited without explicit authorization.
Any unauthorized use will be prosecuted in accordance with intellectual property and copyright laws.
Disputes
Any dispute shall be subject to the exclusive jurisdiction of the Court of Milan.
The above conditions are deemed fully and unconditionally accepted upon issuance of written or verbal orders, unless otherwise specified in writing by us.
